Terms and Conditions for Legal Services
These Terms and Conditions (“Agreement“) govern the provision of legal services (“Services“) provided by Al Majidi Law Firm (“Al Majidi” , “Firm” , “we” , “our” or “us“) to the client (“Client” , “you” or “your“) for the companies incorporation and setup business in Egypt, and other related legal services. By engaging the Firm for the Services, the Client agrees to the following terms and conditions:
1. Scope of Services
The Firm agrees to provide legal services for the companies incorporation and setup business in Egypt as detailed in the chosen service package. These Services may include, but are not limited to, company registration, tax registration, drafting and reviewing contracts, trademark registration, and providing ongoing legal consultation.
2. Fees and Payment Terms
2.1 Declared Fees
The fees quoted for our Services do not include any additional governmental fees, transportation costs, paper copying, or other out-of-pocket expenses that may be incurred during the course of providing the legal services.
2.2 Additional Expenses
The Client agrees to bear the cost of all additional expenses, including but not limited to:

Governmental fees (such as registration, permits, licenses, and taxes).

Transportation costs related to legal filings or meetings.

Paper copying and administrative expenses related to the provision of Services.
These expenses will be billed separately and will be due and payable by the Client in addition to the agreed-upon professional fees.
2.3 Payment Terms
The Firm requires an initial payment of 50% of the total service fee upon engagement. The remaining 50% balance is due upon completion of the Services, prior to final delivery of documents or execution of services.
2.4 Payment for Additional Expenses
Any additional expenses (governmental fees, transportation, copying, etc.) incurred during the provision of Services will be invoiced separately and must be paid within 30 days from the date of invoice. Failure to pay within this timeframe will result in a late fee of 1% per day on the outstanding balance.
3. Client Obligations
3.1 Accurate Information
The Client agrees to provide accurate and complete information necessary for the Firm to perform the Services. This includes, but is not limited to, company details, financial information, tax records, and any other documents required for registration or compliance.
3.2 Cooperation
The Client agrees to cooperate with the Firm and provide timely responses to any requests or actions necessary to complete the Services.
3.3 Authority to Act
The Client grants the Firm authority to act on its behalf to submit required documents to Egyptian governmental authorities, including the General Authority for Investment (GAFI), Egyptian Tax Authority, and other relevant bodies.
4. Limitation of Liability
4.1 Professional Advice
While the Firm will provide high-quality legal advice and services, the Client acknowledges that the outcome of legal proceedings and registrations may depend on factors beyond the Firm’s control, including governmental decisions, regulatory changes, or third-party actions.
4.2 No Guarantees
The Firm makes no guarantees or warranties regarding the success of the legal services or any specific legal outcome, including the approval of any registration or licensing application by Egyptian authorities.
4.3 Limitation of Liability
The Firm’s liability is limited to the total amount of fees paid by the Client for the specific services rendered, and the Firm shall not be liable for any indirect, consequential, or incidental damages arising from the services provided.
5. Confidentiality
5.1 Confidentiality of Client Information
The Firm agrees to keep all information provided by the Client confidential and will not disclose any confidential information without the Client’s prior consent, except as required by law or for the performance of the Services.
5.2 Confidentiality Obligations
The Client agrees to maintain the confidentiality of any legal advice provided by the Firm, as well as any documents or materials shared with the Client as part of the Services.
6. Termination of Services
6.1 Termination by the Client
The Client may terminate the services at any time, subject to the payment of any outstanding fees for services rendered up until the termination date, including any additional expenses incurred.
6.2 Termination by the Firm
The Firm reserves the right to terminate the Agreement if the Client fails to comply with these Terms and Conditions, including failure to make timely payments or provide necessary information.
6.3 Refund Policy
In the event of termination, the Client will not be entitled to a refund for services already provided or for any expenses already incurred by the Firm.
7. Dispute Resolution
7.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Egypt.
8. Miscellaneous
8.1 Force Majeure
Neither party shall be liable for failure or delay in performance of any obligation under this Agreement due to causes beyond their reasonable control, including but not limited to acts of God, war, or government action.
8.2 Amendment
These Terms and Conditions may be amended or modified by the Firm at any time. Any changes will be communicated to the Client and shall be effective upon notification.
8.3 Entire Agreement
This Agreement constitutes the entire agreement between the Firm and the Client, and supersedes all prior understandings, representations, or agreements, whether written or oral, relating to the subject matter of this Agreement.
Acceptance of Terms
By engaging the Firm’s services, the Client acknowledges and agrees to these Terms and Conditions. If the Client does not agree to these Terms, they must notify the Firm in writing and discontinue any further services.
