Corporate and M&A

Corporate and M&A Law Firm in Egypt

Whether you are entering the Egyptian market, acquiring a local business, or restructuring an existing subsidiary, corporate and M&A transactions in Egypt involve regulators, approvals and timelines that differ from those in your home jurisdiction. Al Majidi Law Firm advises foreign and multinational companies on Egyptian corporate law and M&A from our office in Cairo, from the first structuring decision through closing and post-deal integration.

Our team combines local knowledge of Egyptian law and regulators with an understanding of how international investors run cross-border deals.

Mergers and Acquisitions Advisory

We act for buyers, sellers and investors in domestic and cross-border transactions. Our M&A work includes:

  • Legal due diligence to identify liabilities, contractual risks and regulatory gaps before you commit.
  • Structuring and negotiating transaction documents, including share and asset purchase agreements.
  • Managing regulatory approvals and merger control filings.
  • Supporting post-acquisition integration, including contracts, governance and workforce matters.

Merger Control and Competition Clearance

Egypt operates a pre-closing merger control regime, in force since 1 June 2024. Transactions that meet the statutory turnover or asset thresholds must be notified to and cleared by the Egyptian Competition Authority (ECA) before closing. The thresholds are based on the parties’ turnover or assets in Egypt and, in some cases, worldwide. Even deals below the thresholds can be reviewed by the ECA if they raise competition concerns.

We assess whether your transaction is notifiable, prepare and manage the filing, and coordinate with the ECA so that timing risks are understood before you sign.

Capital Raising and Corporate Financing

We advise on raising capital through equity, debt or hybrid instruments, and on structuring financing that works for both Egyptian and international lenders and investors. For public offerings and market transactions, see our Capital Market practice.

Regulatory Compliance and Licensing

Doing business in Egypt requires registrations and approvals from a range of authorities. We handle them on your behalf and keep you compliant with Egyptian corporate law and anti-money laundering (AML) requirements. Our regulatory work includes:

  • Tax and registration: tax cards and VAT registration with the Egyptian Tax Authority, and registration of companies and factories with the General Organization for Export and Import Control (GOEIC).
  • Industrial and commercial licensing: industrial licenses from the Industrial Development Authority (IDA), and import licenses and customs-related approvals.
  • Sector approvals: telecom equipment licenses from the National Telecommunication Regulatory Authority (NTRA), and registration of pharmaceuticals, cosmetics and medical devices with the Ministry of Health and the Central Administration for Pharmaceutical Affairs (CAPA).
  • Trade and competition: representing clients before the Trade Remedies Sector in anti-dumping investigations, and compliance work with the ECA.
  • Real estate: dealing with notary public and real estate registration offices for land and property.

Frequently Asked Questions

Do foreign companies need to notify the Egyptian Competition Authority before completing an acquisition?
Only if the transaction is an economic concentration that meets the statutory thresholds. These are based on the combined turnover or assets of the parties in Egypt and, alternatively, worldwide. The ECA can also review transactions below the thresholds if they raise competition concerns. We assess this at the start of every deal.

Can a foreign company own 100% of an Egyptian company?
In most sectors, yes. Foreign ownership is generally permitted, though some activities carry restrictions or need special approvals. The right structure depends on your sector and business plan.

What does legal due diligence cover in Egypt?
It usually covers corporate records, licenses and permits, material contracts, real estate, employment, tax, intellectual property and pending or potential disputes. The aim is to identify risks that affect price, structure or whether to proceed.

How long does an M&A transaction take in Egypt?
It depends on the deal’s complexity, the sector and whether merger control or other regulatory approvals are needed. We give you a realistic timeline once we know the structure and the authorities involved.

Do you handle regulatory licenses as well as the transaction itself?
Yes. We manage licensing and registrations with the relevant authorities, so the transaction and the regulatory work are handled by one team.
